Service Level Agreement
This Agreement between you and C. M. Cummings + Associates, LLC (CMC+A) includes access to business strategy advice. This is an on-demand service; you will initiate each interaction. However, CMC+A monitors regulatory, technical/scientific, and marketplace conditions relevant to your business strategy. We might proactively contact you with relevant or urgent insight. Delivery (interactions) between 7 AM - 7 PM via phone or electronic transmission (such as email, fax, or mobile device applications). CMC+A may opt to expand availability outside those hours, via other means, or in person based on our availability, other means' appropriateness, and practicality. Although you will often get live access or replies within minutes, CMC+A will strive to be responsive and timely to your outreach by replying to messages within 24 hours. Although there is no limit on the number of interactions, CMC+A may opt to consolidate responses. We will provide monthly electronic reports summarizing our interactions and the corresponding hours you were billed for. CONFIDENTIALITY: You may disclose the existence and general nature of this agreement with your customers, suppliers, or other stakeholders. Also, you or CMC+A may share the terms of this agreement on a confidential basis with legal and financial stakeholders, insurers, suppliers, or other third parties who have a legitimate business need to know about them. CMC+A will not publicly disclose your confidential information without your prior consent. INTELLECTUAL PROPERTY: Your intellectual property belongs to you. CMC+A does not desire to acquire any trade secrets, know-how, confidential information, or other intellectual property that you might acquire or develop during our interactions. To the best of our knowledge, any materials or intellectual property created by CMC+A for your benefit are original; they do not infringe upon the intellectual property of others. CMC+A will not use or disclose any third-party intellectual property in the course of providing services to you. ETHICS & PROFESSIONAL CONDUCT: CMC+A work is subject to the ethics/professional conduct policies of several trade organizations. Payment indicates acceptance of this entire agreement, and provides approval to start and continue work as specified. UNUSED SESSIONS PAID BY CASH, CREDIT OR DEBIT ARE 100% REFUNDABLE. CMC+A will be entitled to receive any accrued unpaid compensation up to the date work ceased. The confidentiality provisions of this agreement will remain in full force and effect after service is delivered. The District of Columbia's laws will govern this agreement. If you or CMC+A have a dispute over this agreement's terms or our performance, then we will attempt to resolve it in good faith. If our resolution efforts are unsuccessful, then we will seek and agree upon a professionally certified mediator to resolve the dispute; for example, a mediator from one of the trade organizations whose professional conduct/ethics policies CMC+A is subject to. If mediation sessions are unsuccessful, then we will submit the dispute to an arbitrator whose decision will be final. If any provision of this agreement is held to be invalid or unenforceable for any reason, then the remaining provisions will continue to be valid and enforceable. If a court finds that any provision of this agreement is invalid or unenforceable, but that by limiting the provision it would become valid and enforceable, then that provision will be deemed to be written, construed, and enforced as that court so limited it.
